Erdem & Erdem Academy 2023 2nd Quarter Presentations
Our internal training sessions, which Erdem & Erdem Academy organizes throughout the year on numerous legal topics, continue. In the second quarter of the year we addressed 5 themes within the scope of the Academy.
On April 7, 2023, Beyza Günsel Sürücü, one of our Tax Department associates, informed our team on the subject titled "Stamp Tax "Certain Money" and "Benefiting from the Ruling" Conditions". In her presentation, Beyza Günsel Sürücü talked about the systematics and conditions of stamp tax, the 'certain amount of money' and the 'benefit from its provision' condition in stamp tax and its place in practices.
On May 5, 2023, Helin Akbulut, one of our Corporate Affairs Department associates, informed our teams about "Locked Box & Closing Accounts". In her presentation, Helin Akbulut first made a brief assessment of the Share Transfer. Then, she focused on two mechanisms called Locked Box and Closing Accounts regarding the determination of the price, which are important issues regulated under the Share Transfer Labor Agreement.
On May 25, 2023, Didem Adlığ Sönmez, one of our Managing Associates in our Banking and Finance Department, informed our teams on "Syndicated Loans". In her presentation, Didem Adlığ Sönmez talked about the definition and characteristics of multilateral loan agreements. She touched upon the syndication process and the roles of financial parties in syndication. After explaining the fees and commissions and documentation issues, she explained the provisions specific to Syndicated Loans.
On June 8, 2023, Ece Ozsu, one of our Dispute Resolution Unit lawyers, informed our teams on the subject titled "Suspension of the Execution of the General Assembly Decisions of Joint Stock Companies Art. 449 TCC". In her presentation, Ece Özsü explained the scope and purpose of the issue regulated by Article 449 of the TCC. She discussed the legal nature of the suspension of execution of the General Assembly resolutions and its relationship with the interim injunction provisions of the CCP. The presentation continued with the parties to the request for suspension of execution of the General Assembly resolutions and in which cases it may be requested. Finally, she explained the injunction proceedings, the injunction decision and the legal remedy.
On June 16, 2023, Tolga SEVİNİR, one of our associates from our Dispute Resolution Department, informed our teams on the subject titled "Concordat 101". Sevinir started his presentation with the definition and history of concordat. After referring to Article 285 of the Enforcement and Bankruptcy Law No. 2004, he discussed the types of concordat. He then explained the stages of concordat, namely the application, temporary and final respite process, preparation of the concordat project and the call to the creditors, the meeting of creditors, the acceptance of the concordat project and the approval or rejection of the concordat.
